Vendor Agreement

 1.IntroductionThis Vendor Agreement ("Agreement") is entered into between Kilimanjaro Marketplace Tanzania and the individual or business registering as a Supplier, vendor or manufacture.By registering and selling products on Kilimanjaro Marketplace, you agree to comply with this Agreement and all related marketplace policies.

2. PurposeKilimanjaro Marketplace provides an online platform that connects buyers and sellers across Tanzania and later in the future across East Africa.The Company acts solely as a marketplace facilitating transactions and does not become the owner of products sold by Suppliers/Vendors unless expressly stated.

3. Vendor EligibilityTo register as a Vendor, you must:Be at least 18 years old.Operate a legally recognized business or have legal authority to sell products.Provide accurate registration information.Provide valid contact details.Comply with Tanzanian laws. 
Business Suppliers or Vendors may be required to submit:
Business License
TIN Certificate
Certificate of Incorporation (where applicable)
National ID
Bank or Mobile Money account details

4. Suppliers/Vendor ResponsibilitiesThe Vendor agrees to:Sell only genuine and legally permitted products.Provide accurate descriptions, prices, specifications, and images.Maintain sufficient stock.Respond promptly to customer inquiries.Process orders within the required timeframe.Package products securely.Deliver products as agreed condition and specifications.Maintain professional communication.Update inventory regularly.Each supplier/vendor will be responsible to Taxes of the product they sale.

5. Prohibited ProductsThe following products may not be listed:Counterfeit goodsIllegal productsStolen goodsWeaponsIllegal drugsPornographic materialsHazardous materials prohibited by law in TanzaniaExpired productsProducts violating intellectual property rights
NB: Kilimanjaro Marketplace reserves the right to remove any listing without notice.

6. PricingVendors determine their own prices.Prices displayed must:Be accurateInclude applicable taxes where requiredMatch the actual selling price

NB: Hidden charges are prohibited.

7. OrdersOnce an order is confirmed:The Vendor shall:Accept or reject the order within the specified period.Prepare the order promptly.Notify customers of delays.Ship within agreed timelines.NB: Repeated cancellations may result in penalties. 

8. PaymentsCustomer payments are collected through approved payment methods.Vendor payments are released according to the Vendor Payout Policy after:successful deliverycompletion of any inspection perioddeduction of applicable commissions and fees

9. Marketplace CommissionKilimanjaro Marketplace charges a commission on successful sales.Applicable commission rates are communicated separately and may change with prior notice.For now, Kilimanjaro Marketplace will charge 7% of every sale.Example: a sale of Tzs 10,000 the Tzs 700 will be deducted as commission.And Tzs 9,300 will be paid to a supplier/ vendor  

 10. Returns & RefundsVendors agree to comply with the Kilimanjaro Marketplace Return & Refund Policy.Failure to cooperate with legitimate refund requests may result in account suspension.

11. Customer ServiceVendors must:respond professionallyresolve complaints promptlycooperate during dispute investigations

12. Vendor RatingsCustomers may rate vendors.Consistently poor ratings may result in:reduced visibilitytemporary suspensionpermanent removal

13. Intellectual PropertyVendors retain ownership of their trademarks and product content.By uploading content, suppliers and Vendors grant Kilimanjaro Marketplace a non-exclusive license to display, promote, and market their products.

14. Data ProtectionVendor information shall be handled according to our Privacy Policy.Vendors shall not misuse customer information.

15. Fraud PreventionThe following are prohibited:Fake ordersArtificial reviewsManipulating pricesFake inventoryDuplicate accountsViolations may result in immediate termination.

16. SuspensionKilimanjaro Marketplace may suspend or terminate accounts for:policy violationsfraudabusive conductillegal activitiesrepeated customer complaints

17. Limitation of LiabilityKilimanjaro Marketplace acts as a technology platform facilitating transactions.Except where required by law, the Company is not liable for indirect or consequential losses arising from transactions between buyers and vendors.

18. Governing LawThis Agreement shall be governed by the laws of the United Republic of Tanzania.

19. AmendmentsThe Company may amend this Agreement from time to time.Continued use of the platform constitutes acceptance of revised terms.

20. AcceptanceBy registering as a Vendor, you confirm that you have read, understood, and agreed to this Vendor Agreement.
